(hereinafter referred to as “Speage”) issues the following General Terms and Conditions for the provision of Speage Services:

Article I.
Introductory provisions
1.1. These General Business Terms and Conditions govern the binding rights and obligations between Speage and Users who use or are interested in using the services defined in these General Business Terms and Conditions of accessing an online mediation platform for communicating between Users in a foreign language, in connection with the teaching of foreign languages and in the provision of other services listed in these General Business Terms (hereinafter referred to as “GTC”).
1.2. The subject matter of these GTCs is to modify the terms of the Speage Services and to modify other related relationships and facts whose origin, existence, change or termination is related to the Services provided, the modification of the conditions for the conclusion, modification and cancellation of the contractual relations between the Users and Speage and between the Users the determination of binding rules and conditions of use of the Speage platform.
1.3 The services provided by Speage consist primarily in making available User Content, making available User Profile information among Registered Users, making it possible to establish mutual contact and communication between Users (Students and Lecturers) via the Speage website: www.speage.com or another website or application through which Speage makes services available (hereinafter referred to as the “online platform”), in making available a platform for the conclusion of a Contract for the Provision of Teacher Services, representing Students in Lecture with Lecturers, and addressing Disagreements with Lecturers related to the use of Lector’s Services and providing other related services or performance listed in these GBCs. Service users may, through the online Speague platform, establish contact, conclude a contract for the provision of the Teacher Services, agree on the terms of reciprocal communication and language learning, offer, provide or use the services of other Users and cooperate with each other in the use of the services.
1.4. Speage, on the basis of these GTC or any related contractual relationships and facts, does not provide or commit to providing foreign language teaching services.
1.5. The indispensable part of these GBCs is: (i) Payment Terms, (ii) Terms of Service of the Teacher Services. If there is no deviation in the individual provisions of these GBCs or other contractual documents, or if the validity of some of the provisions of these GTC is not expressly excluded or modified, the following order of liability shall apply in the event of a conflict: 1. GTC, 2. Payment Terms, 3. Terms of Service for the Teacher Services.
1.6. For the purposes of these GTC, the terms defined in this Article have the following meanings unless otherwise stated in the other provisions relating to the provision of services or the correlation between those GTCs or the content and nature of the other GTC provisions do not otherwise apply:
(a) Services or Speage Services: services provided by Speage under a User Agreement in accordance with this GTC, the subject of which is in particular to make User Content available, to disclose User Profile information among Registered Users, to make possible the establishment of mutual contact, contractual relationship and communication between Users through an online Speage-operated platform available from https://www.speage.com or otherwise via an Internet connection and representing Students in Lecture with Lecturers and addressing Disabilities related to the use of Lector’s Services. Use of the Services requires connection to a public electronic data communications service, including dedicated devices and applications. Speage does not provide the User with Internet connection services, data transfer services or any other similar services or performance.

b) User: an entity that establishes a User Account and registers for the purpose of using the Services or a person who uses the Services on behalf of a registered User who is a legal entity or organization, or also a registrant.

c) Lecturer: A user who, under his / her own name, offers and provides for remuneration a service of communication in a foreign language
d) Student: A user interested in accessing User Content, establishing contact and communication with the Lecturer, entering into a contractual relationship with the Lector through Speage, and using Lector’s services as well as representing the Lecturers and dealing with disagreements related to using the Services of the Lector, for the agreed remuneration and the terms and conditions stipulated by these GTC.
e) Lector Services: services offered or provided by a Lecturer, including in particular individual foreign language lessons and foreign language communication services subject to a refund, using the Services provided by Speage.
f) User Content: any content (all information, text files, audio, video or other material) that the User makes available, published, published, provided, shared or included in his User Profile or providing Speage for promotional purposes make it available through the Speage website or other application or Speage service to another User or third party.
g) Contract for the Provision of Lector’s Services: Contract concluded between the Student and the Lector via the online Speage platform, which is the provision of the Teacher Services. The contract is concluded at the time of binding confirmation of the selection of offered Lector’s Services, the extent and timing of their provision, and rewards for their provision by the Student and the Lector by clicking on the appropriate field on the online platform after entering the authorization data.
h) Speage Content: any content (any information, text, audio, video, or other material) that Speage will make available through the Speage website or other Speage or promotional campaign and social media, except for User Content.
i) User Account: an account established to the User through which the User enters into his User Profile and uses the Speage Services.
j) User Profile: part of the User Account, which serves for publishing and displaying information about the User under the conditions stipulated by these GTC. The user profile serves exclusively a single User.
k) Authorization request: a User’s request submitted through his User Account after entering a username and password and other authorization data, if applicable. The password for entering the User Account can be changed or received at any time, based on access to the e-mail account that is under the account in the User Account registered or based on a verified User’s request.

l) Harmful content: such content of a User Account or a User Profile that is in conflict with (i) laws or other generally binding legal regulations of the Slovak Republic, (ii) good morals, (iii) principles of fair trade, (iv) business practices , (v) decisions of courts and other public authorities, or (vi) the rights and legitimate interests of Speage or third parties.

Article II.
General Terms of Service and Use of Services

2.1. Services provided through the online Speage platform are authorized under the terms of these GTC to be used by a registered User who has a User Account (account), has legal personality and is fully capable of doing so. The User undertakes to pay remuneration under the Terms of Service provided by the Services and to comply with all terms and instructions of Speage relating to the provision of the Services.
2.2 These terms are binding contractual arrangements between the User and Speage and, in specified cases, between Users and each other. The User agrees to legally bind to these Terms and Conditions in the use of the Services and the online Speage platform and undertakes to abide by these GTC in full and without reservation. In the event of Disagreement by the User with these GTC, the User is not entitled to use the Services or otherwise continue to use the online Speage platform; if the User, despite his disagreement with these GTC, continues to use the GTC, the GTC and the resulting rights and obligations are fully applicable to him.
2.3 The Speage Online Platform, including the Speage website www.speage.com or any other website or application through which Speage provides the Services, represents an online space for mutual communication and language learning, where both Users and Students as well as Lecturers can benefit from resulting from direct communication between one another. Speage is not a party to any agreement between a Student and a Lecturer or a participant in any legal relationship resulting from a contractual relationship between the Student and the Lecturer or between the Users of each other.
2.4 Users acknowledge and agree that unless expressly stated otherwise in these GTCs, Speage does not exercise any control or supervision over the activities, activities and activities of individual Users, Lecturers or Students, or any services or transactions which, among themselves or obligations, and are not responsible for any actions or consequences of actions or omissions of individual Users’ actions or any other liability to the fullest extent permitted by law.

2.5. A user who has chosen to use the Speage Services as a Lecturer confirms and agrees that he is a subject independent of Speage, acting exclusively under his own name, on his own responsibility and on his account for the purpose of making a profit, not by name, by account or by the purpose of making a profit in favor of Speage. It is a separate legal entity that is not an employee, associate, or controlling Speage for any reason. Unless otherwise stated in these GBCs, Speage does not exercise control or supervision over the performance of any of the Lector’s activities or Services offered or provided by the Lecturer, nor beyond any information and data made available or disclosed by the Lector in its User Profile. In particular, Speage is not responsible for the quality of the Teacher Services offered or provided by the Student in the field of foreign language communication or in the field of foreign language teaching. The lecturer undertakes that in any activity and promotion of his / her Services in relation to Students and third parties he will act in accordance with this provision and will not create the wrong impression that he would act in the name or on behalf of Speage or as a Speage employee.

2.6 Services provided through the online Speage platform are exclusively for entities with full legal personality and legal capacity. Physical persons are entitled to use the Services if they are older than 18 years, unless otherwise agreed by their legal representative. Any access to or use of the Services by a person under the age of 18 without the consent of his / her legal representative is prohibited. By registering, accessing the User Account, or using the Services, the User confirms that he is fully entitled to acquire the rights and take on himself the obligations of his own. If a User who is a legal person or an organization is interested in registering and using the Speage Services, a person acting on such User at the time of registration declares and warrants that he or she has the right to bind such legal entity or organization in its entirety. In the case of untruthfulness or incompleteness of such statement, this person shall be liable in full for any obligations incurred.

Article III.
Registration and establishment of a User Account

3.1. The condition of registration and establishment of the User Account is (i) filling in the electronic registration form on the Speage website www.speage.com, (ii) expressing the User’s consent to these GTC and other terms and conditions by clicking on the relevant registration box, (iii) processing personal data provided by Speage by clicking on the appropriate checkbox at the time of registration.
3.2 In the electronic registration form, which is a proposal for the conclusion of a contract, the User is obliged to provide all necessary information, including his / her name, surname, address and e-mail address, truthfully, completely and accurately. Upon registration, the User selects the status under which he will use the Services, status of Student or Lecturer.
3.3 By confirming the filled in registration form, the user confirms that the data he has entered is true and that he has the opportunity to get acquainted with these GTC and other terms and conditions, which he undertakes to observe and observe before the final confirmation of registration. The user is responsible for any damages caused by the submission of false, incomplete or inaccurate data provided at registration.
3.4. The contractual relationship between Speage and the User concerned with the provision of the Services arises at the time of the binding registration confirmation upon acceptance of the contractual terms in the form of a click in the final part of the registration form.
3.5. Speage is authorized to verify the registration with the User by any appropriate means at the contact e-mail address or telephone number given in the registration form. In the event that Registration is not confirmed by the User in this way, Speage is not allowed to accept the registration and does not establish the User Account or cancel it if the User has already been established in the meantime. If Speage has doubts about the truthfulness, completeness or accuracy of the data provided by the User in the completed registration form or the identity of the User, the User is required to provide Speage, upon request, with his identification documents and other documents to verify the entered data.
3.6. The contractual relationship between Speage and the User may be remotely altered in a manner similar to that provided for in this GTC for its conclusion or by the agreement of the parties entered in writing, except in cases where, under the terms of the contract, a different manner is provided, in particular by unilateral change of GTC or other contractual terms the Speage parties. Termination of a contractual relationship may be made at a distance, in writing or in any other manner in accordance with these GTC.
3.7. The User has the right to access and use the Services after setting up the User Account and complying with the conditions stated in these GBCs solely for their own use and within the scope of the rights and obligations arising from the selected User’s status. The user is not entitled to share the Speage Services with a third party or to allow the free or commercial use of the Speage Services to a third party.

Article IV.
Access to the User Account and Use of the Services
4.1. The user will gain access to the User account upon successful sign-up. After the first registration, the User logs in to the User Account by entering his authorization data.
4.2. The user is required to ensure the confidentiality of any authorization data he / she has entered or has been assigned to him / her (especially passwords, access data, etc.) and is required to protect them against loss, misappropriation, misuse or disclosure to third parties. In the event that any of the Authorization Data is suspected to have become known to a third party, the User shall promptly inform Speage of this fact and make changes to his authorization data or request Speage to alter the data or temporarily block access to the User Account.
4.3. The online Speage platform will be made available to the User through dedicated digital communication means. Technical devices designed to access the online platform must meet the minimum technical requirements. The User is responsible for ensuring proper technical parameters and configuring the configuration.
4.4. The User Account provides the User with access to his User Profile and profiles of other Registered Users, including User Content, to information about the Speage and other Users offered and provided, as well as to the contractual documents relating to the services provided. In selected cases, the User can edit and manage the data registered on his User Account.
4.5 Speage services enable, through the online Speage platform and authorized access to the User Account, in particular:
a) Download and learn about information related to foreign language teaching and foreign language communication.
b) Student seeks, chooses, contacts, orders, and concludes a Contract for the Provision of Teacher Services directly with the Teacher for the purpose of communicating in foreign languages or teaching foreign languages, and to use the Speage Services to represent the Student in Lecture with Lecturers and to deal with disagreements with the use of the Teacher Services.
c) Provide lecturers with their services, respond to Students’ questions, contact, negotiate, and conclude a Contract for the Provision of Teacher Services directly with the Student for the purpose of communicating in foreign language or teaching foreign languages.
4.6 Speage is not a party to any agreement between a Student and a Lecturer, the content of which would be to provide teaching or communication services in a foreign language. By providing Services under these GT Speage only creates space for Students and Lecturers to establish mutual contact and enter into a contractual relationship between each other. Speage services create space for Students interested in on-line language learning, foreign language communication, or individual or group foreign language lessons to make contact with Lecturers who, in accordance with the terms of these GTCs, offer and provide such on- line language learning, foreign language communication, or foreign language lessons.

4.7 All payments resulting from the contractual relationship between the Student and the Lector concluded through the use of the online Speage platform will be made under the terms of the Payment Terms, which are an integral part of these GTC (“Payment Terms”).
4.8 A more detailed description, characterization and modification of the conditions for providing the Services of the Lector is contained in the General Terms and Conditions of Providing the Services of the Lecturer, which are an integral part of these GTC (hereinafter referred to as the “Terms of Service of the Teacher Services”).
4.9 By accepting these GTCs upon the conclusion of a contract with Speage, the User also agrees with the terms and conditions of the contractual relationship between the Student and the Lecturer under the Contract for the Provision of the Services of the Lector, and the content of such a contractual relationship, including the Terms of Payment and the Conditions for Providing the Services of the Lecturer.
4.10. The User is responsible for any acts performed through his User Account using the User’s Authorization Data, regardless of whether such acts

Article V.
Speage Rights and Duties
5.1 Speage undertakes to provide User Services under these GTC.
5.2 Unless otherwise stated in these GBCs, Speage’s obligations and liability are limited to ensuring the accessibility of the online platform, User Account, and Services.
5.3 Speage does not respond in any way to, or participate in, the creation of User Content, does not affect the activity or business of Users and Lecturers and is not obliged to oversee the content of the Teacher Services or the information stored or made available by Users in their User Profile or to search for facts pointing to unlawful content of such information or facts.

5.4. The provision of the Speage Services is not legally enforceable. Speage reserves the right at any time to refuse, interrupt, suspend or discontinue the provision of the Services or access to the User Account to anyone and for any legal reason without any compensation claims from Speage of that title. The User acknowledges that discontinuing, suspending or terminating the provision of the Services or accessing the User Account will no longer have access to his User Profile or User Content. The user who has been interrupted, suspended or terminated by Service provision by Speage or who has been suspended or terminated access to his User Account has no right to re-register or use the Services under any Other User Profile and Authorization Data.
5.5. Speage is entitled without prior notice to the User to suspend, suspend or terminate the validity of the User Account and access of the User to the Services, in particular in the case of:
(a) misuse or suspicion of misuse of User’s authorization data,
b) Providing or suspecting to provide incorrect, untrue, incomplete or outdated data upon registration or otherwise contrary to these GBC,
c) if the User does not, or is reasonably suspected, does not meet the conditions set out in these GTC for the use of the Services,
d) if the User establishes more than one User Account
e) breach or suspicion of violation of these GBCs or other contractual terms and conditions;
f) Finding or suspecting unauthorized access to the User Account or unauthorized use of the Services,
g) if the User is late in fulfilling his contractual obligations,
h) if the User’s action is contrary to law or good morals,
(i) Suspicion of the User’s participation in activities the object or effect of which is to circumvent these GBCs or Payment Terms,
j) if, according to the information of Speage, it can reasonably be assumed that the User will not fulfill his contractual obligations,
(k) when concluding a contractual relationship with the User, Speage considers, for whatever reason,
l) if User Content or User Content is spreading to malicious content (especially computer viruses, malware), or if the content of another service is prefaced,
m) if the User Account or User Content violates or threatens the rights and legitimate interests of Speage, its good reputation or reputation,
n) if the User Account or User Content violates or threatens the rights and legitimate interests of other Users or third parties, violates privacy or security,
o) Planned interruptions in the provision of Speage Services to ensure the functionality or enhancement of the provided Services, maintenance or repairs of the online platform, etc.,
p) if it is not possible to secure access to the User Account or to provide the Services for technical reasons or as a result of circumstances for which Speage is not responding,
q) The user enters into dispute with another User on the Speage platform five or more times,
(r) in other cases referred to in these GBCs or resulting from generally binding legal regulations.

5.6 Speage is not responsible for any defects, outages, interruptions of the Service, or any delay in the performance of any of the obligations under these GTC caused by:
– failure to comply with the terms of use of the Services,
– breach of obligations or failure to provide co-operation by the User,
– unauthorized interference by the User or circumstances on the part of third parties,
– Internet connection failures, technical malfunctions, software defects, system environment change, malicious content or computer viruses,
– irreversible event, circumstances excluding liability or cases of force majeure.

5.7 In the event of unauthorized access to the User Account, Malicious Content or the use of the Services contrary to these GTC, Speage is entitled to disable all data contained in the User Account and to prevent the User from any further use of the Services and access to the User Account.

5.8 Speage is entitled to terminate the provision of the Services for any reason, especially for economic reasons, due to the introduction of new services, changes in market conditions, improvement of services, development of new technologies, etc.

5.9 In the event of planned activities that may lead to the interruption or limitation of the Services or the functionality of the online platform, Speage notifies the User of the expected duration of such activities, as a rule, at least 24 hours in advance, by sending a notice to the User’s contact email address or by publishing a notification to the online Speage platform. The User agrees to Speage’s authority to perform such activities and to interrupt or limit the Services or functionality of the online platform without any compensation or compensation from Speage.

5.10. Speage is entitled at any time to unilaterally modify or change the scope and terms of service provision. Changes made to the changes are generally notified to the User prior to sending the notice to the User’s Contact E-mail or by publishing a notice on the online Speage platform; about changes in prices and substantial changes to the provided Services shall generally inform the User for at least 30 days in advance.
5.11 Any legal acts, notices, or other Speage submissions are deemed to be delivered to the User on the date they are sent to the User’s contact details listed in his User Profile, including the email address.
5.12. Speage is entitled to publish additional binding guidelines on your website for the proper use of the Services. Users are required to follow such instructions in their current effective wording.
Article VI.
Rights and Obligations of the User
6.1. Users agree to pay for the Services Provided via the Speage Platform for reimbursement under these GTC and Terms of Payment.
6.2 The User is entitled to use the Services provided via Speage only in a manner consistent with these GTC, other Terms of Service, and Speage Guidelines. The User is obliged to use the Services in such a way that they do not infringe the rights and legitimate interests of Speage and third parties and comply with laws and regulations binding on the territory of the Slovak Republic, good morals, fair trade principles, commercial practices and decisions of courts and other bodies public power. The user may not make Malware content available within his User Account and User Content.
6.3 Users are aware that the provision of the Services is a prerequisite for the User to cooperate in the cases provided for in these GTC or arising from the nature and specificity of the Services provided. Users undertake to provide any interaction necessary to fulfill the contractual relationship with Speage and other Users.
6.4 The user is required to update his / her identification, billing, and contact details provided at registration and registered within the User Account and the User Profile, within 7 days of the change when the change occurred. Updating of the data is made by the User through the User Account based on the Authorization Requirement of the User. The User agrees to make his or her data available to other Users or third parties for the purpose of performing Services provided through the Speage platform.

6.5 It is the sole responsibility of each registered User to make all his personal data and information available on his User Profile, including the contact email address, accurate, up-to-date and accurate in all circumstances. By accepting these GTC, the User confirms and agrees that he will not claim from Speage any claims, rights or claims for compensation for any injury or damage of any kind and nature, actual or potential, which would be caused by inaccurate personal data or information made available in the User Profile or otherwise via the online Speage platform or in connection with the use of the Services, and declares that such rights and claims against Speage are without reservation and irrevocably waived.
6.6 The User assumes full responsibility for the content of his User Profile and User Content and declares that he is wholly exclusive to the copyright holder, copyright holder, trademark rights, and other legitimate content-related rights that he has entered or has made it available in its User Profile and User Content authorized to use it in any way and to an unlimited extent. User grants Speage free of charge the exclusive use of its User Content and any portion thereof in any way that includes all currently and prospectively known uses for the purpose of providing the Speage Services for purposes related to the Services provided and for the promotion of the Services; at least for the duration of the property rights to the User Content, in an unlimited territorial, physical and time extent. The User also agrees to make the content of his User Profile and User Content and any part thereof accessible to third parties and other Users under the terms of these GBCs. At the same time, the user grants Speage explicit consent to learn about conversations and other forms of communication between Users via the Speage platform, in particular for the purpose of providing Speage Services and assessing disputes between users related to the services provided.

6.7. Other Obligations of the User:
a) The User is obliged to refrain from using the Services in a way that is contrary to copyright, intellectual property rights, or which interferes with the right to protection of personality, reputation or good repute of third parties, in particular is obliged not to disclose, distribute or publish data subject to the copyright or intellectual property of third parties without their consent, non-disclosure of false information about third parties, refrain from any offensive or harassing statements in relation to third parties, etc.,
b) The User is not entitled to use the Services in such a way that it restricts other Users or inappropriately exhausts the system resources of the server on which the online Speage platform is operated. In order to achieve the same quality and availability of the Services for All Users, Speage is entitled, without prior notice, to limit one or more operating parameters and hence the properties and availability of the Services’
c) The User may not use the Services for harassment of third parties, he is obliged to provide protection against automated abusive forms, filling database and other abusive practices,
d) The User is liable in its entirety for any damage or injury caused to Speage, other Users or third parties in connection with breach of their obligations under these GBCs or generally binding legal regulations. In the case of third party claims arising out of a breach of User’s obligations under these GTC, the User is required to settle these claims at his own expense at his own expense, including any claims made by third parties against Speage in this regard.
6.8 The User acknowledges that violation of these GTCs may be the reason for an immediate disruption of the Services provided through the Speage platform.
6.9 User within the meaning of § 11 of Act no. 122/2013 Z. z. on Privacy by clicking the appropriate box at the time of registration, Speage grants express consent to the use and processing of your personal information provided by Speage in connection with the registration, or by specifying them in the User Profile and User Content, especially in the scope of name, surname, residence, mail address and other data provided by Speage in connection with performance of the contract for the purpose of concluding the contract and providing the Services. The provision of personal data for the purpose of concluding a contract is voluntary. By processing personal data about the User, Speage is entitled to entrust a third person. User agrees to make available his / her personal and other data to other Users for the purpose of providing the Services. The User’s personal data will be processed during the duration of the contractual relationship with Speage and upon its termination until the full settlement of all obligations between Speage and the User as well as in accordance with Act No. 401/2002 Coll. on accounting and law no. 395/2002 Coll. archives and registers, and amendments to certain laws.
6.10. By submitting a registration form at the same time, the User grants Speage the consent to process their personal data in the scope of the name, surname and e-mail address for the purpose of offering Speage products and services, including sending information about preferred offers, products and other activities, as well as sending business notifications via e- resources, for an indefinite period of time. The User acknowledges that such consent is at all times revoked in written form.
6.11. The User undertakes in the form of an Authorization Requirement to promptly notify Speage of any deficiencies in the Services provided through the Speage platform. Any submissions or notices of a User addressed to Speage or other User via the User Account where the User expresses dissatisfaction with the Services provided is not considered a complaint. Claiming Services or the accuracy of the billing is User only in the manner specified in the following GTC:
6.11.1. Complaints must include: (i) a detailed description of the claimed defect – the alleged quality deficiencies of the Services provided or the accuracy of the billing, (ii) the time period during which the defect occurred, (iii) the User identification data and its correspondence address, (iv) the User hires the claim.
6.11.2. Any defects in the quality of the Services provided shall be made to the User without undue delay, no later than within 3 days of their occurrence. Complaints about the accuracy of the billing are entitled to claim by the User within 14 days of receipt of the billing, the accuracy of which is the subject of the claim.
6.11.3. Complaints are dealt with within the statutory time limit, depending on their complexity and technical or administrative difficulty. The result of the complaint investigation will generally be notified to the User within 30 days of the claim being made.
6.11.4. Repayment of the Speage Services is in writing or at the Speage e-mail address to handle complaints. The responsibility of Speage is limited to the obligation to remove the defect of the Service provided. Speage is not obliged to pay the User damages due to failure to provide the Services or defective performance.
6.11.5. Claims related to the defects of the Teacher Services are claimed by the User directly with the Lecturer in writing or by the contact email of the Lecturer.
6.11.6. The consumer user is entitled to bring an out-of-court settlement to the alternative dispute resolution body for a conciliatory settlement between the parties, such as the Slovak Trade Inspection or an authorized legal entity registered in the list of alternative dispute resolution entities maintained by the Ministry of Economy of the Slovak Republic , under the conditions stipulated by Act no. 391/2015 Coll. Such a User has the right to file an alternative dispute resolution if the Response has been rejected or he has not received the reply within 30 days from the date of application for the remedy that was filed because the User was not satisfied with the manner in which the his or her claim is upheld or if he considers that his rights have been violated. The proposal shall be submitted to the competent ADR body; the possibility of appealing to the court is not affected. The proposal for alternative dispute resolution may be submitted by the consumer in the manner specified in § 12 of Act no. 391/2015 Coll. The user can also make a proposal through the Alternative Dispute Resolution Platform: http://ec.europa.eu/consumers/odr/index_en.htm. Alternative dispute resolution by the ADR is free of charge; an authorized legal person may stipulate that it is entitled to require the consumer to charge a fee
alternative dispute resolution in an amount that may not exceed five euros, including VAT. Alternatively, an alternative dispute resolution entity may refuse the application if the quantifiable value of the dispute does not exceed EUR 20 unless the consumer has demonstrated that the dispute has been settled by communication before the petition has been lodged, or if the consumer submits a proposal after one year from the date of delivery of the refusal to the consumer’s request for redress or a mild expiration of 30 days from the date on which the consumer sent a request for redress to which the response was not provided.
6.12. The rights and obligations arising from the contractual relationship between Speage and the User go to their legal successors. Transfer of rights and obligations of the User from a contractual relationship entered into with Speage to third parties is possible only with the prior written consent of Speage. Transfer without consent Speage is considered invalid and rendered ineffective as to Speage. If the consent is granted additionally, the transfer is considered valid and effective on the date of the issue of the consent of Speage. Any transfers of Services from the User to third parties are always a transfer of rights and obligations arising from the User’s and Speage’s contractual relationship. It is the duty of the User to fully and truthfully inform the third person of all rights and obligations arising from these GTCs.
Article VII.
Duration of the contract
7.1. The contractual relationship between Speage and the User expires:
(i) by agreement between Speage and the User,
(ii) withdrawals under these GTC,
(iii) the cancellation of the User’s User Account,
(iv) in other cases listed in these GTC.
7.2 A User who is a consumer – a natural person and the Service does not serve him to pursue an occupation, occupation or business or business, has the right to withdraw from the contractual relationship with Speage without giving any reason and without penalty within 14 days from the date of conclusion of the contract. The withdrawal must be in writing or in the form of the User’s Authorization Request entered through the established User Account. A sample withdrawal form is accessible from the User’s User Account. Withdrawal from the contract is without prejudice to the obligation of the User to pay remuneration for the services and renditions provided to him until the moment of resignation.
7.3. The User expressly agrees to begin the provision of the Services before the expiration of the statutory withdrawal period pursuant to Act no. 102/2014 Z. z. and declares that Speage has been duly instructed that the right of withdrawal will be lost by the granting of such consent upon full service of the Services. In the event of cancellation, the User is obliged to pay Speage a proportion of the reward for the Services provided.
Article VIII.
Final provisions
8.1. Speage is entitled to supplement these Terms and Conditions unilaterally and at any time, with effect from the date of their publication on the Speage website at www.speage.com. For the User these GTCs are binding in their current effective wording.
8.2 The rights and obligations arising from these GTC‘s are governed by the laws of the Slovak Republic, in particular the Commercial Code no. 513/1991 Coll. In the case where the User is a consumer within the meaning of Article 52 4 of the Civil Code no. 40/1964 Coll., The legal relationship is governed by the provisions of the Civil Code. The relevant mandatory provisions of the generally binding legal regulations of the Slovak Republic, from which it follows that their wording can not be departed, are not affected by these GTC. The courts of the Slovak Republic have jurisdiction to resolve disputes arising from this contractual relationship.
8.3. The User is solely responsible for any violation of the terms of the contractual relationship with Speage and these GBCs, even if the breach occurs due to access to the User Account or the use of the Services by another person.
8.4. These GTCs will enter into force on: 1.8.2018

Article 1
Introductory provisions
1.1 These Terms of Payment (hereinafter referred to as the “Payment Terms”) form an integral part of the General Terms and Conditions governing the rights and obligations between Speage and Users who use or are interested in using the services defined in the General Terms and Conditions, based on establishment of mutual contact and communication between Users in a foreign language, respectively. in connection with the teaching of foreign languages and in making available User Content and User Profile information among Registered Users (hereinafter referred to as the “GTC”).
1.2. The user who is interested in using the Speage Services and the Services of the Lecturer expresses with his / her consent to the GTC at the time of signing also consent to these Payment Terms and undertakes to respect them in their entirety and without reservation.
1.3. These Payment Terms and conditions constitute legally binding contractual arrangements between Speage and the Users in legal relationships of which the subject is Speage Services. These Payment Terms also represent binding contractual arrangements between Users in legal relationships relating to the provision of the Lecturer Services or related services and the services provided through the online Speage platform.
1.4. In the event of the User´s disagreement with these Payment Terms, the User is not entitled to provide nor use the services of Lecturer and the Speage Services, otherwise the User will be subject to these Payment Terms and the resulting rights and obligations in full.

Article II
Implementation of Payments
2.1. Reward for the provisions of Lecturer Services
2.1.1 By virtue of the Lecturer’s Service Agreement, the Lecturer has the right to receive compensation for the provision of his / her services from the Student under the terms and conditions set out in the Agreement and these Payment Terms.
2.1.2 The student undertakes to pay to the Lector remuneration for the use of his services at the amount agreed upon by the Student upon the binding conclusion of the Contract for the Provision of Lector’s Services through the online Speage platform.
2.1.3 The current pricelist of the Lector’s Services, including the conditions under which the prices apply, is published in the Lector’s User Profile. Speage does not determine or control the amount of retribution for services provided by Lecturers.
2.1.4 The lender’s expense includes all costs associated with the provision of the Lector’s Services, including the costs of the Lecturer for the payment of the Repayment Fee (commission) within the meaning of point 2.2. of these Payment Terms.
2.1.5 Speage enables Lecturers to offer and provide services to Studemts through the online platform. Payment transactions to pay for the provision of the Lector’s Services are made between Student and Lector via Speage. The lecturer agrees to accept the payment of payments for the provision of his services through Speage.
2.1.6 The student is entitled to order the Lector’s Services via the Speage platform, in particular foreign language lessons or foreign speaking lessons. Order of lessons and subsequent purchase is done exclusively via the Speage platform, in published ways and sequence. Confirmation of making a binding order will be available to the Student from his User Account.
2.1.7 Reimbursements for the Lector’s Services will be made through Speage of the funds the Student has deposited into the Speage deposit (hereinafter referred to as “Deposit”). The student deposits a selected financial amount on the Speage account to receive the Deposit for the purpose of ordering the Lecturer’s lessons and arranging for financial relations with the Lecturer in accordance with these Payment Terms. The student acknowledges that Speage is not the Provider of the Teacher Services, but only the Intermediary of these services between the Student and the Lecturer. Speage is commissioned by the Teacher to take charge from Student for the Teacher Services. Tax documents relating to the Teacher Services provided are issued by the Lecturer as their provider.
2.1.8 The use of the Services is limited by the amount of the available balance of the Deposit deposited by the Student. The student will not be allowed to use the Services of the Lecturer if his account does not have enough credit to use the ordered services.
2.1.9 After the student has ordered the Lecturer’s lesson, he / she is required to take part in this lesson and pay the Lecturer’s agreed fee for the booked hour, unless otherwise specified in these Payment Terms.
2.1.10 The Order of the Teacher’s lesson becomes valid by confirmation of the order in the form of a click after signing in to the Student User Account on the Speage platform, provided that the Student Account’s Deposit has sufficient credit to pay the Lecturer’s fee for the ordered lesson or if the Student inserts funds for payment of the Lecturer’s remuneration for this hour immediately after placing the order.
2.1.11 Money from the Deposit will be paid to the Lecturers once a month via PayPal. The funds will be credited to the PayPal account of the lecturer based on the email address listed in the current User Profile of the Lecturer. If in point 2.1.12. of these Terms and Conditions is not stated otherwise, the funds of the Depositary will be credited to the bank account of the Lecturer after the ordered and finished Lecturer’s lessons at the amount of the reward agreed between the Student and the Lecturer. The reward will be lessen by the Speage remuneration within the meaning of point 2.2. of these Payment Terms.
2.1.12 After completing the ordered lecturer´s lesson, the Student will be prompted by the Speage platform to indicate one of the following options:

a) “Everything went well.” (marking the end of the lesson – so-called acceptance of the service);
b) “There was a problem.”

In the event that the Student does not mark any of the above mentioned options on the Speage platform within 7 days of the lesson, the lesson is considered to be accepted by the student without reservations.

By marking the lesson as ended (accepting the service), the Student confirms that the Lecturer Services were properly provided and at the same time agrees to pay the Lecturer’s remuneration and to release his / her resources from the Depositary.

If the Student marks option: “There was a problem.”, the Student will be entitled to ask the Lecturer to return the money for the lesson or to re-schedule the lesson. At the same time, the Student will describe the problem that occurred during the lesson and why he is requesting a refund or re-scheduling of the lesson to the Lecturer. (eg the Lecturer did not attend the lesson, the Lecturer disconnected after 10 minutes, etc.). The Lecturer is entitled to accept or reject the Student´s request.

In the event that the Lecturer refuses the Student´s request, Speage, based on the evaluation of available information, in particular mutual communication between Student and Lecturer, and their conversations in the Speage platform’s message system, will assess the dispute and propose a solution to the Users.. If Speage concludes that reimbursement of the lecturer´s fee is unjustified, the Student will not be charged for this lesson, otherwise the Lecturer will be entitled to receive remuneration for this lesson from the Student at the amount of Speage proprosed, at most 100% of the reward agreed between the Student and the Lecturer.

2.1.13 Speage will return the unused balance of the Deposit to the Student within 21 days of entering the Authorization Requirement by the Student through the Speage platform and settling all financial obligations between the Student and the Lecturer on Student´s bank account stated in current Student´s profile.

2.1.14 All fees charged to the Student by banking institutions or third parties in connection with the composition of the Deposit and the execution of related payment services are borne by the Student at his / her own expense and responsibility. The student is also solely responsible for any changes in the exchange rates that occur with regard to the composition and return of the Deposit or the execution of the payments.

2.1.15 Speage commits the funds deposited in the Deposit to be carefully cared for and handled in accordance with these Payment Terms. Speage is entitled to all interest, payments, and any other refunds on the bank account balance that arise due to a time discrepancy between the composition of the Deposit and the payment of the corresponding funds in accordance with these Payment Terms.

2.2 Remuneration of Speage

2.2.1 For mediating the conclusion of contractual relationship between the Lecturer and the Student, for the availability of the Speage platfomr and provision of other Speage Services spicified in GTC, Speage has a right to remuneration (hereinafter “commission”) from the Lecturer at the following amount:

– 10% of the remuneration agreed between the Student and the Lecturer, for each Lecturer’s hour.

If, following application of the procedure described in paragraph 2.1.12. of these Payment Terms will entitle the Lecturer to a lower refund from the Student as originally negotiated, Speage will be entitled to a commission at amount of 10% of the remunaration to which the Lector is entitled under 2.1.12. of these Payment Terms. If, as a result of the application of the procedure referred to in point 2.1.12. of these Payment Terms, the Lecturer is not entitled to a commission from the Lecturer for such services.

2.2.2 Commission within the meaning of point 2.2.1. of these Payment Terms, Speage will be paid out of the Deposit deposited by the Student, usually every quarter within 30 days after the expiration of the calendar quarter, by transfer to the Speage bank account or payment of the commission from the Deposit in cash. Based on a special agreement between Lecturer and Speage, the commission may also be paid to Speage for another period.

2.2.3 The lecturer undertakes to pay Speage a commission and agrees with the method of payment of the commission under these Payment Terms.

2.2.4 Upon payment of the commission, Speage issues to the Lector a tax document (invoice) in accordance with the generally binding legal regulations of the Slovak Republic. The lecturer expressly agrees that Speage will submit invoices made in accordance with these Payment Terms in electronic form. Speage will deliver the electronic invoice to the Lecturer at its contact email address in the User Profile.

Article III
Other provisions
3.1 The Lecturer undertakes to refrain from any action that might or could result in circumvention of these Payment Terms. In particular, the lecturer undertakes that:
– he will not propose, offer nor receive any payments from Students related to the Lector´s Services by any other means without Speage,
– in his User profile he will provide accurate, true and complete information about the prices charged for the providing the Lecturer´s Services,
– he will not state a different price for the provision of services in User Profile, User Content, in any other way through Speage platform or in any notifications addressed to Speage as was agreed with the Student.

In the event of any breach of any of the obligations under this point, the Lecturer is liable to pay Speage a contractual fine of 3 times the total amount of remuneration to which Speage was entitled to provide Speage Services in connection with the contractual relationship entered into between the Lecturer and the Students through the Speage platform during the last 12 months before the breach of this obligation; Speage´s claim for damages is not affected by this.

3.2 The lecturer understands that he is solely responsible for correctly determining his tax regime and fulfilling any of his tax obligations in relation to the provided Lector’s Services. The lecturer is also solely responsible for the correct payment of any taxes or fees to the competent authorities. Speage does not offer Lecturers or other Users any legal or tax advice.

3.3 Speage does not charge the User with any user registration fees, nor for the creation of a User Account and User Content.

3.4 Speage is entitled to have any claims against Users unilaterally offset against any User’s claims against Speage

Article IV
Final provisions

4.1 Speage is entitled to supplement and change these Terms unilaterally with effect from the date of their publication on the Speage website www. speage.com. For the User, these Terms are binding in their current effective version.
4.2 The rights and obligations arising from these Terms and Conditions are governed by the laws of the Slovak Republic, in particular by the Commercial Code no. 513/1991 Coll. Article I.
Introductory provisions

1.1. These Terms of Service (hereinafter referred to as the “Terms and Conditions”) form an integral part of the General Terms and Conditions governing the rights and obligations between Speage and Users who use or are interested in using the services defined in the General Terms and Conditions, contractual relationship and establishment of mutual contact and communication between Users in a foreign language, respectively. in connection with the teaching of foreign languages and in making available User Content and User Profile information among Registered Users (hereinafter referred to as the “GTC”).

1.2. The user who is interested in providing the Speage Services expresses their consent to the Terms and Conditions at the time of signing at the same time and agrees to comply with these Terms and Conditions in their entirety and without reservation.
1.3 These Terms constitute binding contractual arrangements between Speage and the Users in legal relationships that are subject to the provision of Speage Services. These Terms also represent binding contractual arrangements between the Users in relation to each other in the legal relationships in which the provision of the Teacher Services or related services and performance is involved.

1.4. In the event of Disagreement of the User with these Terms, the User does not have the right to provide or use the Services of the Lecturer and the Speage Services, otherwise the User will be subject to the following Terms and Rights and the resulting rights and obligations in full.

Article II.
Providing Teacher Services

2.1. The Services of a Lecturer are authorized to provide a registered User who has the status of a Lecturer, has a valid User Account (account) and is authorized to provide the Teacher Services under the GTC and these Terms. The lecturer is entitled to the payment of the Student’s remuneration for the provision of his / her Services under the conditions specified in the Payment Terms.

2.2 The Services of a Lecturer are authorized to use a registered User who has the status of Student, has a valid User Account (account) and is authorized to use the Speage Services in accordance with the GTC and these Terms. The student undertakes to pay to the Lector remuneration for the use of the Teacher Services under the conditions specified in the Payment Terms.

2.3 For the provision of Speage Services, in particular for accessing the Speage platform to conclude a Contract for the Provision of Teacher Services, for making contact and communication between the Lecturer and the Student accessible and for making the User Content available, the Lector undertakes to pay Speage a refund according to the Payment Terms.

2.4 Users agree to abide by all the terms and instructions of Speage relating to the provision of the Teacher Services.

2.5. By establishing a User Account and selecting a Lecturer’s status, the User confirms that he / she has the interest under his / her own name, on his / her own responsibility and for the purpose of making a profit, to offer and provide the Student for remuneration of a foreign language communication service or foreign language teaching, and also an interest in concluding a Contract for Providing Teacher Services through the online Speage platform.

.6 Once the user account has been established, the lecturer will fill out the model profile of the Lecturer available in his / her User Profile, in which he / she will truthfully and completely provide all marked data regarding his / her knowledge and experience of foreign language teaching and foreign language communication. In his User Profile, the Lecturer will also provide a detailed description of the Lector’s Services and provide the terms and conditions under which the Services will be provided. The lecturer will be able to edit his User Profile by entering the Authorization request to modify the entered data. When creating a User Profile and Terms of Service, the Lector commits to the following requirements:
– The lecturer will provide a detailed description and characteristics of the Services with a clear definition of their scope, target group designation, topic and content of the individual lessons of communication and lessons (hereafter “lesson” or “lesson”),
– The lecturer will outline the main goals and expected results of the provided Services and individual lessons,
– The lecturer must not create a User Profile or a description of the Teacher Services for the purpose of committing, misleading, misusing the rights of other Users, Speaking or third parties to provide services other than those listed in the Teacher Services description or to violate or circumvent the GBC and these Terms . It is expressly forbidden to offer, promote or provide the Teacher Services free of charge or for a fee that is inappropriate or in exchange for a positive reference by the User or for any non-monetary consideration.

2.7. Once the user account has been established, the student is entitled to search for information on the Lector’s profile and its User Content, selecting the Lecturer who will provide the Teacher Services to make a binding order with the Lector to provide services and to use the additional User Account functionality in connection with the Teacher Services.

2.8 Following a binding acknowledgment of the selection of the Teacher Services, the extent and timing of their provision, and rewards for their provision by the Student and the Lector in the form of Online Online (the award of the Lector’s Services Agreement), the Student undertakes to use the Lector’s Services to pay for the Lector’s remuneration The lecturer undertakes to provide the Student with the selected Lecturer Services in accordance with the Lector’s Terms of Service.

2.9 Speage is not a party to the Contract for the Provision of Teacher Services between the Student and the Lecturer. The lecturer provides his services independently and independently from Speage. By binding acknowledgment of the selected Lector’s Services, the Student enters the legal relationship directly with the selected Lecturer. Speage does not guarantee and assumes no responsibility for the quality, safety or legality of the Teacher Services offered, nor for the truthfulness, completeness or accuracy of information about the Teacher’s qualification, language skills, education, skills or experience with the Services offered, nor for the ability of Students to pay for the Services provided trainer. Unless otherwise stated in the Terms of Service, Speage does not guarantee and is not responsible for the proper provision of the Teacher Services nor for the settlement of claims arising from the contractual relationship between the Student and the Lecturer.

2.10 The trainer undertakes to comply with the following conditions when providing the Services of the Lecturer:
– use the online Speage platform to manage and coordinate Student requirements,
– respond promptly, within one business day, to any communication with Students and Speage concerning the provision of the Teacher Services and foreign language teaching,
– maintain and maintain records of the Services provided and any communication between the Lecturer and the Student, including information on the extent of the Teacher’s Services provided, their results, timeframe, agreed pay, references, feedback, schedule changes, availability, acceptance and termination of the individual lessons; . hours of teaching,
– to inform the Students of the availability of the Teacher Services provided and the expected time of response to the student’s request,
– inform Students of the unavailability of Teacher Services for more than 24 hours.

2.11 In the event that the Lecturer can not provide his / her Services at the originally advertised time and scope, he / she is obliged to inform the Student without delay, offer an explanation and propose an alternative term of the lesson. At the same time, the lecturer informs Speage about this fact.

2.12 Upon termination of Teacher Services, the Lecturer undertakes to provide students with useful, objective and balanced feedback and references. All payments and financial commitments between the Student and the Lecturer will be settled in accordance with the Payment Terms.

13.2. Any Student who is not satisfied with providing the Teacher Services is entitled to claim the Services provided directly with the Lecturer. The lecturer undertakes to inform Speage without delay.

14.2. A student who is a natural person and a Lecturer’s Services does not serve him to pursue a job, occupation or business or entrepreneurial activity (consumer) has the right to withdraw from the contractual relationship with the Lecturer in writing without giving any reason and without penalty within 14 days from the date of conclusion of the Contract Providing Lector’s Services. Withdrawal from the contract is without prejudice to the student’s obligation to pay reimbursement for services and renditions provided to him by the time of withdrawal. The student expressly agrees to begin the provision of the Teacher Services before the expiration of the statutory withdrawal period under Law no. 102/2014 Z. z. and declares that he has been duly instructed that the right to terminate the contract will be forfeited upon the granting of such consent after the full provision of the Services of the Lector. In the event of withdrawal, the Student is required to pay the Lector a proportionate share of the reward for the Services provided.

15.2. Users agree to resolve any conflicts or disagreements inherent in the Services provided by the Lector, preferably by mutually negotiating. This does not affect the right of any User to address the matter in court.

16.2. Speage is entitled to publish additional binding guidelines on its website for the provision and use of the Teacher Services. Users are required to follow such instructions in their current effective wording.

Article III.
Other Rights and Obligations of Lecturers and Students

3.1. The lecturer undertakes to provide the Teacher Services properly, with professional care, in accordance with the principles of honest business relations, good morals and a high degree of satisfaction for the Students.

2.3 The lecturer agrees that any Student who, for the remuneration of his Service, can access his User Content, including teaching materials, solely for personal and non-commercial educational purposes.

3.3 The lecturer agrees to use and make available his User Content and information about the Services provided by the Lecturer for marketing, promotion, and advertising of Speage Services and online platforms in any medium. Speage is also entitled to use the name of the Lecturer as part of marketing, advertising, or promotions.

3.4. Users are required to respect the privacy and protected personal rights of other Users and are not authorized to interfere with the rights of other Users by unauthorized or abusive conduct, including misuse of judgment and feedback. Students undertake that their views and ratings will not be used to artificially increase or decrease the rating of Lecturers.

3.5. The instructor commits a serious violation of these Terms if:
– does not deliver any Service to which it has committed or if such Service is delivered with delay, defects or unsatisfactory quality,
– Provides Services in contravention of the information made available in its User Profile and in the Service Description,
– in the provision of the Services violates its contractual obligations,
– provides the Services in a way that leads to dissatisfaction with Students,
– will not make reasonable efforts to resolve the dispute with the Student,
– violates the Terms of Service, Privacy, or Confidential Information.

.6. Speage reserves the right at any time at its sole discretion and without prior notice:
– suspend or cancel User access to its User Account,
– restrict, suspend or terminate the provision of the Teacher Services,
– Withhold any payments related to the Services provided by the Lecturer.

3.7. Users undertake to have contact between the Student and the Lecturer for the purpose of communicating in foreign languages or learning foreign languages during the 36 months since the first Teacher’s Service was provided to Student via the online Speage platform. The student agrees that if he / she searches, orders, or purchases Services from the same Lecturer he / she has taken advantage of the Services, he / she will do so exclusively using the online Speage platform. The lecturer undertakes to offer or provide services to the same Student who has already used his Services during that period solely by using the online Speage platform. In the event of a breach of this obligation, Student and Lecturer are obliged to pay Speage a joint and several contractual penalty equal to 100 times the total amount of remuneration to which Speage was entitled to provide Speage Services in connection with a contractual relationship between Student and Lector via the Speage platform during the last 12 months before the breach of that obligation; claiming Speage for damages is not affected by this.

3.8 Users are committed to maintaining the confidentiality of the information made available to other Users and third parties. Confidential information provided, transmitted, communicated or made available to the User on or in connection with the Services provided may be used solely for the purpose of providing the Services and in accordance with GTC and the laws governing the handling of such data. Users undertake to provide confidential information provided, transmitted, disclosed or made available on or in connection with the provision of the Services, to maintain confidentiality and to protect them from misuse, damage, destruction, deterioration, loss and misconduct, even after termination of a contractual relationship with Speage . The User is not entitled to provide, transmit, communicate, disclose, publish, publish, disseminate, denounce, or otherwise use confidential information other than for the purpose of providing the Services.

Article IV.
Final provisions

4.1. Speage is entitled to, at any time, unilaterally supplement and change these Terms with effect from the date of their publication on the Speage website at www.speage.com. For the User, these Terms are binding in their current effective language.

2.4 The rights and obligations arising from these Terms and Conditions are governed by the laws of the Slovak Republic, in particular the Commercial Code no. 513/1991 Coll. In the case where the User is a consumer within the meaning of Article 52 4 of the Civil Code no. 40/1964 Coll., The legal relationship is governed by the provisions of the Civil Code. Relevant mandatory provisions of the generally binding legal regulations of the Slovak Republic, which make it clear that their wording can not be departed, are not affected by these Terms. The courts of the Slovak Republic have jurisdiction to resolve disputes arising from this contractual relationship.

3.4 The User is solely responsible for any breach of these Terms, even if the breach occurs due to access to the User Account or the use of the Teacher Services by another person.

4.4 These Terms shall take effect on: 1.8.2018
